Fractal Analytics Mobilises Rs1248 Cr From Anchor Investors

Mumbai, 8 February 2026: Fractal Analytics Limited, India’s first pure-play Artificial Intelligence company and a global provider of AI-powered analytics and decision science solutions to Fortune 500 companies, enabling enterprises to unlock business value through advanced data science, artificial intelligence, and deep domain expertise, has allotted 1,38,69,499 equity shares to 52 anchor investors and raised Rs1,248.26 crore ahead of the Company’s proposed Initial Public Offering, at the upper end of the price band at Rs900 per equity share, with a face value of Rs1 per equity share.

Out of the total allocation of 1,38,69,499 equity shares to Anchor Investors, 52,77,680 equity shares

(38.05%) were allocated to 11 domestic mutual funds through a total of 22 schemes.

The anchor book witnessed strong participation from leading domestic institutional investors,

including prominent mutual funds such as SBI Mutual Fund, ICICI Prudential Mutual Fund, Motilal

Oswal Mutual Fund, UTI Mutual Fund, Trust Mutual Fund, Bandhan Mutual Fund, Invesco Mutual

Fund, Baroda BNP Paribas Mutual Fund, and Sundaram Mutual Fund, among others.

Participation from insurance companies included Life Insurance Corporation of India (LIC), HDFC Life

Insurance Company Limited, SBI Life Insurance Company Limited, Bharti AXA Life Insurance Company

Limited, and Edelweiss Life Insurance Company Limited.

Global investor interest was equally robust, with participation from marquee long-only and

institutional investors such as Morgan Stanley Investment Funds, Ashoka WhiteOak Emerging

Markets Funds, Jupiter Global Fund, Goldman Sachs Bank Europe, Societe Generale – ODI, Flumen

Investment Trust, Optimix Wholesale Global Emerging Markets Share Trust, Neo Prime Fund, Neo

Secondaries Fund, among others.

The initial public offering of the Company comprises a fresh issue of equity shares aggregating up to

Rs10,235 million (the “Fresh Issue”) and an offer for sale of equity shares aggregating up to Rs18,104

million (the “Offer for Sale”, and together with the Fresh Issue, the “Offer”).

The Offer for Sale is being undertaken by existing shareholders including Quinag Bidco Ltd, TPG Fett

Holdings Pte. Ltd., Satya Kumari Remala, Rao Venkateswara Remala, and GLM Family Trust

(collectively, the “Selling Shareholders”). The Offer also includes an Employee Reservation Portion

aggregating up to Rs600 million for subscription by eligible employees.

Kotak Mahindra Capital Company Limited, Morgan Stanley India Company Private Limited, Axis

Capital Limited, and Goldman Sachs (India) Securities Private Limited are the Book Running Lead

Managers (“BRLMs”) to the Offer.
